Case Study – Protecting High-Tech Trade Secrets

Our client was approached by a large multinational software company seeking tens of millions of pounds in damages for copyright infringement.

They accused our client of using software in a way that wasn’t authorised by their licence. Worse still, they also accused our client of unlawfully allowing its customers to use the software, exposing the customers to infringement claims as well.

We were able to negotiate a confidential settlement that was a fraction of the original claim, to be paid over two years. Our client and its customers were also licensed to continue using the software in question. This involved non-standard terms which broke the software company’s standard licensing model but which worked for our client’s business and its customers.


This case was difficult for a number of reasons – the licence agreement was old and ambiguous, there was a threat to our client’s customer relationships, and our client was in the middle of a proposed sale.

We were able to help our client convince the claimant to see the commercial opportunity for a future relationship and use that opportunity to side-line the infringement issues and disputed contractual issues. This saved the significant time, cost and effort of fighting those issues and meant we could negotiate a commercial outcome which worked for our client. We didn’t get near a court room."
