The law surrounding contracts in Spain is actually much simpler than that in the UK. Here in the UK contracts can be as simple or complicated as we choose to make them however, in Spain the law is well established and defined. The background and the context that the contract is applied in are much more complicated though, and can influence the terms of the contract. This can create a whole host of problems & generate a potential minefield.

Contract issues may not be as simple as the actual contract itself. One of the possible minefields that exist is the issue of jurisdiction and whether or not Spanish law or English law applies to the situation or contract. When contracts are drafted to cover business dealings in more than one country, these issues may become part of the picture and add to the confusion.

Insurance and guarantees, although used globally, are a very British mind-set. Having indemnity insurance to protect you and your customers if things go wrong is common business practice in the UK. This practice has not necessarily travelled well to our business cousins in Spain, so it is very common for a business including legal practitioners to have little or no insurance or offer any warranties. This means that if a business goes under there will be few guarantees or protection for suppliers or customers alike.
