Private Equity is investment at way of share capital in a company. This will often take the form of a management buy out (MBO) or a management buy in (MBI). It could also involve a venture capital house investing in a company alongside existing shareholders to release a certain amount of equity to those shareholders (equity release).

Whether an MBO, MBI, equity release or other form of equity investment, existing management/owners will be faced with a number of documents concerning the investment such as a Subscription and Shareholders’ Agreement, new Articles of Association of the company and possibly new service contracts. At the same time, the company will probably refinance its debt borrowings and be the target of a sale to the newco private equity vehicle.
